3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update your information as necessary. 4. Ordering and Delivery

7. User Content

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sub-licensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the App and our business. You represent and warrant that your User Content does not violate any third-party rights or applicable laws.

You agree not to engage in any of the following prohibited conduct:

The App and its original content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software) are owned by Supplio or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, display, or create derivative works of any portion of the App without our express written permission.
10. Disclaimer of Warranties
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Supplio SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
12. Indemnification
You agree to indemnify, defend, and hold harmless Supplio and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, your use of the App, or your User Content.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall be resolved exclusively in the state or federal courts located in Lagos, Nigeria, and you hereby consent to the jurisdiction of such courts.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of any significant changes by posting the updated Terms within the App or by other means, such as email. The date of the latest revision will be indicated at the top of the Terms. Your continued use of the App after the effective date of any changes constitutes your acceptance of the updated Terms.
