1. Acceptance of Terms

By accessing or using Supplio (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). Please read them carefully. If you do not agree to all of these Terms, do not access or use the App.

2. Use of the App

The App provides a platform that connects users with delivery services. You may use the App to browse available delivery options, place orders, and manage your account. You agree to use the App only for lawful purposes and in accordance with these Terms.

3. User Accounts

To use certain features of the App, you may need to create a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update your information as necessary. We reserve the right to suspend or terminate your account if any information provided is inaccurate, incomplete, or violates these Terms.

4. Ordering and Delivery

  1. When you place an order through the App, you are offering to engage a delivery service for the selected items.
  2. The final price for your order, including delivery fees and applicable taxes, will be displayed before you confirm your order.
  3. Delivery times are estimates and may vary depending on factors such as traffic, weather, and the availability of delivery partners.
  4. You are responsible for providing accurate delivery information. We are not responsible for delays or non-delivery due to incorrect address details.
  5. Upon delivery, please inspect your order for any damage or discrepancies. Any issues should be reported promptly through the App's support channels.

5. Payment

You agree to pay the fees for the delivery services you request through the App. Payment will be processed through our designated third-party payment processor. You authorize us to charge your chosen payment method for the total amount of your order, including any applicable fees and taxes. You are responsible for ensuring that your payment information is accurate and up-to-date.

6. Cancellation and Refunds

Cancellation policies may vary depending on the stage of the delivery process and the policies of the delivery partner. Please review the specific cancellation terms presented to you before confirming your order. Refunds, if applicable, will be processed in accordance with our refund policy, which may be updated from time to time.

7. User Content

The App may allow you to submit content, such as reviews, ratings, and feedback ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sub-licensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the App and our business. You represent and warrant that your User Content does not violate any third-party rights or applicable laws.

8. Prohibited Conduct

You agree not to engage in any of the following prohibited conduct:

  • Using the App for any illegal or unauthorized purpose.
  • Interfering with or disrupting the operation of the App or the servers and networks connected to the App.
  • Attempting to gain unauthorized access to any portion of the App or any other user's account.
  • Transmitting any viruses, worms, or other malicious code.
  • Collecting or harvesting any personally identifiable information from other users without their consent.
  • Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
  • Using the App to defame, harass, abuse, or threaten others.
  • Violating any applicable laws or regulations.

9. Intellectual Property

The App and its original content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software) are owned by Supplio or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, display, or create derivative works of any portion of the App without our express written permission.

10. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Supplio SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You agree to indemnify, defend, and hold harmless Supplio and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, your use of the App, or your User Content.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall be resolved exclusively in the state or federal courts located in Lagos, Nigeria, and you hereby consent to the jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of any significant changes by posting the updated Terms within the App or by other means, such as email. The date of the latest revision will be indicated at the top of the Terms. Your continued use of the App after the effective date of any changes constitutes your acceptance of the updated Terms.
